These Terms of Service ("Terms") govern your access to and use of the Traveller Track platform and services ("Services"), provided by Traveller Track ("we", "us", "our"), a Delhi-based provider of bookkeeping, financial tracking, performance insights, and networking facilitation for the transport sector. By accessing, registering for, or using the Services (including any web/app interface, dashboards, reports, or integrations), you ("you", "Customer", "User") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or entity, you represent that you have the authority to bind that entity.

These Terms form a legally binding agreement. If you do not agree, do not use the Services.

1. Description of Services

Traveller Track provides a cloud-based platform for transport sector clients (including ETS, corporate fleets, spot rental operators, and self-drive businesses) to:

Upload, store, and manage financial records (transactions, invoices, expenses, revenue, payments).

Track personal and business-related data (driver/owner details, contacts, vehicle logs, etc.).

Generate insights, analytics, reports, dashboards, and performance metrics (e.g., profitability, utilization, cost trends).

Facilitate optional connections/networking with other ecosystem participants (subject to consent and matching features).

Services are provided on a subscription basis (as per your selected plan) and may include integrations with third-party tools (e.g., accounting software, payment gateways).

2. Account and Subscription

You must create an account to use the Services. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account. Subscriptions are non-transferable without our written consent. We may suspend or terminate access for non-payment, violations, or at our discretion with notice where required.

3. Acceptable Use and Restrictions

You agree to use the Services only for lawful purposes and in compliance with these Terms. You shall not:

Upload inaccurate, fraudulent, or illegal data.

Reverse engineer, copy, modify, or distribute the platform.

Use the Services to infringe third-party rights or for spam/malicious activities.

Share access credentials with unauthorized persons.

Use automated tools to scrape or overload the system.

We reserve the right to remove content or suspend access for violations.

4. Your Data and Our Processing

You retain ownership of all data you upload or input ("Your Data"). By using the Services, you grant us a limited, worldwide, royalty-free license to process, store, analyze, and display Your Data solely to provide, maintain, improve, and support the Services (including generating insights and facilitating connections with your consent where applicable).

We act as a Data Fiduciary under the Digital Personal Data Protection Act, 2023 (DPDP Act) for any personal data in Your Data. Processing is based on your consent (via acceptance of these Terms and service usage), contractual necessity, or legitimate interests. We comply with DPDP Act obligations, including purpose limitation, data minimization, security safeguards, and your rights (access, correction, erasure, withdrawal of consent).

You are responsible for obtaining necessary consents from individuals whose personal data you upload (e.g., drivers, employees) and ensuring compliance with applicable laws.

5. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with the Services (including financial data, insights, business strategies). This obligation survives termination for 3 years (or longer for trade secrets).

6. Intellectual Property

We own all rights to the platform, software, insights algorithms, reports templates, and derived analytics. You may use generated insights and reports for your internal business purposes only.

7. Limitation of Liability

To the maximum extent permitted by law, Traveller Track shall not be liable for indirect, consequential, incidental, special, or punitive damages (including loss of profits, data, or business opportunities) arising from use of the Services. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. We provide no warranty that the Services will be error-free, uninterrupted, or meet your specific requirements. Services are provided "as is" and "as available."

8. Indemnification

You agree to indemnify and hold us harmless from claims, losses, or damages arising from: (i) your violation of these Terms, (ii) Your Data infringing third-party rights, or (iii) your non-compliance with laws (including data protection).

9. Termination

Either party may terminate for material breach (with 30 days' cure notice). Upon termination, access ends, and you must cease using the Services. We may retain data backups as required by law; otherwise, data will be deleted per our retention policy.

11. Changes to Terms

We may update these Terms. Continued use after changes constitutes acceptance. Significant changes will be notified via email or dashboard.
